Senior Legal Counsel

Lysander Funds is an independent Investment Fund Manager headquartered in Toronto with regional offices in Montréal and Vancouver. We offer investment products to investment and mutual fund advisors and their clients with the aim of helping investors reach their long-term financial goals. Reporting to the General Counsel, the Senior Legal Counsel will support Lysander Funds on a broad range of legal and regulatory matters, working closely with and making significant impact on all aspects of the business.

Job Responsibilities
  • Lead the legal work relating to the offering, structuring and administration of investment fund products;
  • Provide regulatory advice to the firm as a securities registrant (investment fund manager, portfolio manager and exempt market dealer) and on privacy and information security matters;
  • Draft and negotiate commercial contracts including distribution agreements, master service agreements, software license agreements, vendor/supplier agreements and consulting services agreements;
  • Support the corporate secretariat function with respect to governance design and engagement with the board and shareholders;
  • Support the effectiveness of the legal function by building processes to promote efficiency, collaboration, and workflow improvement; and
  • Build and maintain collaborative relationships with internal and external business and corporate partners.

Qualifications
  • The ideal candidate must possess a minimum of 6 years’ post-call corporate law experience with at least some of that experience gained at a leading Bay Street law firm;
  • Expertise in securities regulation (particularly investment funds and registrant regulation) is an asset;
  • J.D. or equivalent and be a member in good standing with the Law Society of Ontario;
  • Superior written and verbal communication skills;
  • Excellent interpersonal skills with a strong ability to work with all levels of the organization;
  • Ability to work both collaboratively and independently in a fast-paced environment;
  • Possess a drive to build, learn and improve and a “can-do” attitude; and
  • Ability to problem-solve and commitment to delivering top-notch legal service.
